1. Introduction

Welcome to GatherPlate. These Terms and Conditions (“Terms”) govern your access to and use of the GatherPlate website, and related services (collectively, the “Platform”) operated by Gatherplate PLT (Registration No. 202604000816), a company incorporated in Malaysia (“GatherPlate”, “we”, “us”, or “our”).

By accessing or using the Platform, you agree to be bound by these Terms and our Privacy & Security Policy, Booking Policy, and Payment Policy, which are incorporated by reference. If you do not agree, you must not use the Platform.

2. Definitions

• “Platform”:The GatherPlate website, applications, and all related services.
• “Customer”:Any individual who uses the Platform to browse, enquire about, or place an Order for catering services.
• “Vendor”:A food and beverage service provider (including full kitchens, home kitchens, food trucks, private chefs, bakeries, and event decorators) registered on the Platform to offer and fulfil catering services.
• “Order”:A confirmed booking made by a Customer for catering services provided by a Vendor, processed through the Platform.
• “Services”:The online marketplace services provided by GatherPlate, which facilitate the connection between Customers and Vendors.
• “User”:Any person accessing the Platform, including Customers, Vendors, and visitors.

3. GatherPlate as Marketplace Intermediary

GatherPlate is a marketplace intermediary only. We provide technology that connects Customers with independent Vendors. We do not prepare, cook, deliver, or provide any catering services ourselves. The contract for catering services is formed directly between the Customer and the Vendor upon Order confirmation.

GatherPlate is not a party to the service agreement between a Customer and a Vendor, and we do not guarantee the quality, safety, legality, or suitability of any Vendor's offerings. Our role is limited to facilitating the transaction and providing dispute resolution services as described in our Booking Policy. Vendors are independent service providers and are not agents, employees, or representatives of GatherPlate. Services provided by Vendors are not deemed to be provided by GatherPlate.

4. Eligibility

You must be at least 18 years of age and must not have been previously suspended or removed from the Platform to use GatherPlate.

5. Account Registration & Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate and truthful information during registration
• Keep your login credentials confidential and not share them with third parties
• Notify us immediately at support@gatherplate.com if you suspect any unauthorised use of your account
• Accept responsibility for all actions taken through your account, whether or not authorised by you.

GatherPlate reserves the right to suspend or terminate any account that we reasonably believe has been compromised, used fraudulently, or used in breach of these Terms.

6. Vendor Obligations

Vendors must comply with all applicable Malaysian laws and regulations, including but not limited to:

• Holding all required food handling permits, business licences, and health certifications issued by relevant authorities (e.g., Ministry of Health, local councils), including a valid Halal certification issued by JAKIM or the relevant state Islamic authority where the Vendor represents their food as Halal
• Accurately representing their services, menus, pricing, and service area on the Platform
• Confirming or declining Orders within the 2.5-day (60-hour) window as specified in our Booking Policy
• Notifying the Customer promptly of any inability to fulfil a confirmed Order
• Maintaining adequate food hygiene standards and complying with the Food Act 1983 and Food Hygiene Regulations 2009.

Vendors who violate these obligations may have their accounts suspended or permanently removed from the Platform.

7. Customer Obligations

Customers agree to:

• Provide accurate event details (date, time, location, and headcount) when placing an Order
• Ensure that payment information provided is valid and authorised for use
• Communicate any special dietary requirements or allergies clearly to the Vendor at the time of booking
• Ensure accessibility and safe conditions for Vendors at the event venue

8. What You Must Not Do

You must not use the Platform to:

• Violate any applicable laws or regulations
• Submit false, misleading, or fraudulent Orders or reviews
• Arrange payment directly with Vendors outside the Platform to avoid platform fees
• Harass, threaten, or abuse other Users or GatherPlate personnel
• Scrape, crawl, or otherwise extract data from the Platform without our written consent
• Impersonate any person or entity

Violation of this section may result in immediate account termination and, where appropriate, referral to law enforcement.

9. Intellectual Property

All content on the Platform — including the GatherPlate name, logo, software, text, graphics, and design — is owned by or licensed to GatherPlate and is protected under Malaysian and international intellectual property laws.

Vendors retain ownership of their own content (menus, photos, descriptions) and grant GatherPlate a non-exclusive, royalty-free licence to display such content on the Platform for the purpose of providing the Services.

You may not reproduce, distribute, modify, or create derivative works of any Platform content without our prior written consent.

10. Disclaimers

The Platform is provided on an “as is” and “as available” basis. GatherPlate makes no warranties, express or implied, regarding:

• The quality, safety, or fitness for purpose of any Vendor's catering services
• The accuracy of Vendor listings, pricing, or availability

GatherPlate does not endorse any Vendor and is not responsible for any food safety incidents, allergic reactions, or service failures arising from Orders placed on the Platform.

11. Limitation of Liability

To the fullest extent permitted by Malaysian law, GatherPlate's total aggregate liability to you for any claims arising from your use of the Platform shall not exceed the total amount of platform fees paid by you or on your behalf in the three (3) months preceding the event giving rise to the claim.

GatherPlate shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or loss of goodwill, even if advised of the possibility of such damages.

Nothing in these Terms limits our liability for fraud, death or personal injury caused by our negligence, or any other liability that cannot be excluded or limited under applicable Malaysian law.

12. Responsibility for Your Actions

GatherPlate is a marketplace intermediary and is not responsible for the acts or omissions of Vendors. Issues arising from the catering services themselves — including food quality, food safety, no-shows, or incorrect orders — are the sole responsibility of the Vendor providing those services.

If any claim is brought against GatherPlate as a result of your actions, your content on the Platform, or your breach of these Terms, you agree to cover GatherPlate's reasonable costs and losses arising from that claim. This does not apply to claims arising from GatherPlate's own errors or negligence.

13. Amendments to These Terms

GatherPlate reserves the right to update these Terms at any time. Amendments are effective once posted on this page. It is your responsibility to review these Terms periodically. Your continued use of the Platform after any amendment constitutes your acceptance of the revised Terms.

14. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising out of or in connection with these Terms shall be subject to the non-exclusive jurisdiction of the courts of Malaysia.

Before initiating legal proceedings, we encourage Users to attempt resolution through our in-platform dispute mechanism or by contacting us at support@gatherplate.com.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16. No Waiver

The failure of GatherPlate to enforce any right or provision in these Terms on any occasion shall not constitute a waiver of that right or provision on any subsequent occasion.

17. Entire Agreement

These Terms, together with our Privacy & Security Policy, Booking Policy, and Payment Policy, constitute the entire agreement between you and GatherPlate and supersede all prior or contemporaneous discussions, representations, or agreements.
